1. About Cledo
Cledo is an automated accounting and tax filing platform for UK limited company directors. The service is provided by SGAA Limited, a company registered in England and Wales.
Cledo is not a regulated financial adviser, chartered accountant, or tax agent. The service provides automated calculations and filings based on data you provide. It does not constitute legal, financial, or professional accountancy advice.
2. Eligibility
Cledo is designed for UK-registered limited companies that qualify as micro-entities under FRS 105 (turnover ≤ £632,000, balance sheet total ≤ £316,000, ≤ 10 employees). If your company exceeds these thresholds, you should seek professional accountancy services.
3. Your Responsibilities
- You are responsible for the accuracy and completeness of all data entered into Cledo
- You must review all tax returns and filings before submission — Cledo provides a preview and requires your explicit approval
- You are the legal signatory on all documents filed with HMRC and Companies House
- You must maintain your own records for a minimum of 6 years as required by HMRC
- You must not use Cledo for any unlawful purpose, including tax evasion or money laundering
4. Subscription Plans
- Complete (£9/month): Your full-service limited company, on autopilot — all HMRC & Companies House filings, bank sync, AI bookkeeping, Safe-to-Transfer, Pay Yourself calculator, AI Co-Pilot, WhatsApp receipt capture.
- Complete + Accountant (£29/month): Everything in Complete plus unlimited access to a dedicated qualified accountant (ACA/ACCA certified) via messaging and video calls, 4-hour response SLA, bespoke tax planning, IR35 advice, R&D tax credits, and HMRC investigation support.
Subscriptions are billed monthly via Stripe. You may cancel at any time; access continues until the end of the current billing period. 14-day free trial available — no credit card required.
5. Government Statutory Fees
HMRC charges nothing to file VAT returns, Corporation Tax (CT600), or annual accounts digitally. However, Companies House charges statutory fees for certain filings:
- Confirmation Statement (CS01): £50 — payable annually to Companies House
- Company Incorporation: £100 — one-off fee to incorporate a new limited company
- Voluntary Strike Off: £13 — one-off fee to dissolve a company
These fees are set by the UK government and are outside Cledo's control. When a filing carries a statutory fee, Cledo collects the exact amount at cost via Stripe. We add zero markup — you pay only the government fee. The fee is clearly displayed and requires your approval before payment is taken.
6. HMRC and Companies House Filings
Cledo submits filings to HMRC and Companies House on your behalf using authorised API connections. You must authorise Cledo to act on your behalf through the HMRC OAuth process. All filings require your explicit approval before submission.
Cledo is not liable for penalties arising from late filings if the delay was caused by incorrect data provided by you, or by HMRC/Companies House system outages beyond our control.
7. Limitation of Liability
To the fullest extent permitted by law:
- Cledo's total liability shall not exceed the amount paid by you in the 12 months preceding the claim
- Cledo is not liable for indirect, incidental, or consequential damages including loss of profits, tax penalties, or business interruption
- Cledo does not guarantee that AI-generated categorisations are correct — you must review and approve all categorisations before filing
8. Intellectual Property
All content, software, designs, and documentation within Cledo are the intellectual property of SGAA Limited. Your financial data remains your property at all times.
9. Data Protection
Your data is processed in accordance with our Privacy Policy. By using Cledo, you consent to the collection and processing described therein.
10. Acceptable Use
You must not:
- Use Cledo to facilitate tax evasion, fraud, or money laundering
- Attempt to access other users' data
- Reverse engineer, decompile, or extract source code from the platform
- Use automated scripts or bots to access the service
11. Termination
We may suspend or terminate your account if you breach these terms. Upon termination, you may request an export of your data within 30 days. After 30 days, data will be handled according to our data retention policy (financial records: 6 years; other data: deleted or anonymised).
12. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
